Terms of Use

The following is a legal agreement between You and the owners and operators of DAAZO.com ("Website") ("We"). By using the Website You agree to be bound by the terms of this Agreement. If You do not agree with the Terms of use, please do not use the Website.

This agreement may be revised or updated without notice. You are advised to review it regularly. Details on updates can be found at the beginning of this document.

The use of this Website

You warrant that You are of legal age to use the Website and to create binding legal obligations for any liability You may incur as a result of the use of the Website. You agree that You are responsible for all of your use of the site including for the use of your account by others.

The Website contains short films uploaded by its members. All short films and their descriptions and presentation in general ("Films") on the Website are the property of either DAAZO and/or its members and are protected by international copyright laws. Use of these Films without license is prohibited.

DAAZO and its members do their best to provide accurate information on Films and on the services of the Website, however against all our efforts there can be some typographical and technical errors on it. DAAZO cannot be held liable for any losses or damages resulting from the inaccurary of any information on the Website.

DAAZO permits you to link to materials on the Website for personal, non-commercial purposes only. In addition, DAAZO provides an "Embeddable Player" feature, which you may incorporate into your own personal, non-commercial websites for use in accessing the materials on the Website, provided that you include a prominent link back to the DAAZO website on the pages containing the Embeddable Player. DAAZO reserves the right to discontinue any aspect of the DAAZO Website at any time.

The content on DAAZO Website, including without limitation, the text, software, scripts, graphics, photos, sounds, music, videos, interactive features and the like ("Content") and the trademarks, service marks and logos contained therein ("Marks"), are owned by or licensed to DAAZO. Content on the Website is provided to you AS IS for your information and personal use only and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners. DAAZO reserves all rights not expressly granted in and to the Website and the Content. You agree to not engage in the use, copying, or distribution of any of the Content other than expressly permitted herein, including any use, copying, or distribution of User Registry of third parties obtained through the Website for any commercial purposes. If you download or print a copy of the Content for personal use, you must retain all copyright and other proprietary notices contained therein. You agree not to circumvent, disable or otherwise interfere with security related features of the DAAZO Website or features that prevent or restrict use or copying of any Content or enforce limitations on use of the DAAZO Website or the Content therein.

Uploading/Distributing Films

Both parties acknowledge that from time to time You may upload Short Films to the Website, and DAAZO will screen these uploads to see if they are suitable for distribution.

DAAZO differentiates between uploading and distributing a film. A "Distributed" film can be seen on the welcome page of DAAZO at the day of the selected distribution date from 0-24. All together seven Films can be distributed a day. DAAZO cannot be held liable for any losses or damages resulting from any technical errors or misfunctioning of Distributing a film, and the Website. You agree that however you Distrtibute your film on DAAZO you cannot request any money or other benefit from DAAZO.

You agree that you will not:
- upload/distribute material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material and to grant DAAZO all of the license rights granted herein;
- publish falsehoods or misrepresentations that could damage DAAZO or any third party;
- upload/distribute material that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate;
- post advertisements or solicitations of business;
- impersonate another person.

Daazo considers the rating guide of Motion Picture Association of America (MPAA). Users agree to do their best in case of rating accurate of their Films. Daazo holds the right to change rating if necessary. For more information concerning the ratings and official rating guide can be found on: mpaa.org

You authorize DAAZO to be your non-exclusive agent that licenses Films FOR FREE to third parties based on the terms mentioned above. DAAZO agrees not to sell these Films under any circumstances and not to distribute them for money outside the Website.

You acknowledge that under no circumstances can you demand money from DAAZO or those using the Films for the use of said Films.

You also acknowledge that the Films may be used for promotional purposes for the Website or your Showroom on DAAZO.

You acknowledge that even though We do our best to prevent it from happening, DAAZO cannot be held responsible for the misuse or abuse of any Film.

Notice and procedure for making claims of copyright or intellectual property infringement

DAAZO reserve the right to remove any approved Film at any time if We believe it's defective, of poor quality or infringe on any right. Serious copyright infringement issues result in the termination of this Agreement, the termination of your membership, and possible criminal prosecution.

If you believe that your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide DAAZO the following information:

an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;

a description of the copyrighted work or other intellectual property that you claim has been infringed;

a description of where the material that you claim is infringing is located on the site;

your address, telephone number, and email address;

a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;

a statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner's behalf.

Privacy policy

DAAZO collects some information about its users for statistical and contact purposes. DAAZO holds your data confidentially, it will not be sold to any third parties and it will not be seen by the public. Each member of the Website has a user profile and a showroom page, on which your user name, sex, location (country) and date of birth may be visible. Giving Us all other information is optional.

Indemnification

You agree to indemnify, defend, and hold harmless DAAZO and its officers, employees, shareholders, directors and suppliers against all claims, liability, damages, costs and expenses, including reasonable legal fees and expenses, arising out of or related to a breach of this Agreement, the use of this site and the use or the inability of use of any Film, your failure to abide by any restriction regarding the use of an Film, or any claim by a third party related to the use of an Film.

Warranty and Liability

THE WEBSITE AND THE FILMS ARE PROVIDED "AS IS". WE OFFER NO WARRANTY, EXPLICIT OR IMPLIED, REGARDING ANY FILMS, THE WEBSITE, THE ACCURACY OF ANY INFORMATION, OR ANY RIGHTS OR LICENSES UNDER THIS AGREEMENT INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. DAAZO DOES NOT REPRESENT OR WARRANT THAT THE WEBSITE OR THE IMAGES WILL MEET YOUR REQUIREMENTS OR THAT THEIR USE WILL BE UNINTERRUPTED OR ERROR FREE.

DAAZO SHALL NOT BE LIABLE TO YOU OR TO ANY OTHER PERSON OR ENTITY FOR ANY GENERAL, PUNITIVE, SPECIAL, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES, OR LOST PROFITS OR ANY OTHER DAMAGES, COSTS OR LOSSES ARISING OUT OF YOUR USE OF THE WEBSITE OR THE FILMS.
